DIV. PRESIDENT'S ADDRESS

        This is Michael Corbin VK2PFQ.

Firstly,I must apologise that my address this week will be quite
lengthy. I had hoped to bring you some better news this week on our
progress with the " on going saga" or " the never ending story",
whichever you prefer, but it was a question of, once again, the
intervention of "Murphy," or... was it someone else....

You'll recall last week that I had said that there would be a
"Council" meeting on Thursday at which the opinion of the Barrister
would be discussed and a decision made as to "where to go from here."
Well it seems that there were people who had other ideas on this
matter. I'll present you with the facts and let you decide for
yourselves. It appears that our Secretary, Mr. Roger Harrison was
not going to be in Sydney on the appointed day - Thursday 4th
August 1994. Further, it appears that when the notice of the
meeting was received by his office staff they did not advise him,
nor have they yet, that there was to be a meeting on Thursday 4th
August..... or did they? But, let's not jump to conclusions. ...
        ... some more facts.

On 2nd August at 22.32 hours a packet message was "put up" by the
propaganda machine of the now defunct "A" team. It contained
information that...A Council meeting was set down for Thursday 4th
August, despite the known-in-advance fact that Roger Harrison would
be Interstate and unable to attend. I have not quoted this verbatim.
However some questions spring to mind.

(a) Known by whom Sir. Certainly not by me, and it seems, not
by anyone else, at least, NOT for the time being. Indeed, I have
still not received an apology from Mr. Harrison for his non
attendance, or his refusal to officially call the meeting or even
attempt to CANCEL it for that matter.... Perhaps this is one of
those times when it suits our Secretary not to recognise us as a
"Council" (in inverted commas) or me as a " President" (also with
the appropriate Punctuation). Ask any Councillor how often the
Secretary insists that we ARE a Council and that we SHOULD get on
with the job. However, on this occasion, he chose not to recognise
me as the President, or my right as the "elected" leader of the
"group" to call a meeting for what can only be described as.... a
very important purpose. Makes you wonder doesn't it.

There is another strange thing about all this and that is that the
Secretary also chose to ring at least one Councillor and inform him
that he, the Secretary, was Interstate and could not possibly attend
the meeting on the Thursday night. Could this mean his Office told
        him after all....one wonders!

I ask several questions. If the Secretary had time to ring one
Councillor why didn't he find the time to ring me? Is, or was,
finance a problem? I would surely have accepted a reverse charge
call. He could have even used the 1-800 toll free line between
10 am and 2.00 pm. He could have left a message on the Institute
answering machine..... even the Director of the "A" team
propaganda machine could have advised me instead of scoring feeble
points with vexatious Packet messages.....the possibilities are
endless... Let me say it again. "I am still waiting for Official
notification from the Secretary that.... (a) He would not be able
to attend a meeting of Council, as he would still be in Melbourne
on that day..... (b) Would it be possible to defer this meeting
to the next day?. (that would have been OK if he had asked) and
        (c) What other matter or matters did I wish to have included in
the meeting agenda ....If he argues that he did none of the above
as he did not receive my notice until he returned home after the
scheduled time of the meeting .... well.... that would be fine But,
it's now Sunday and I still have not received any contact from the
Secretary Roger Harrison. It makes you wonder doesn't it. It makes
you wonder whether he has some other hidden agenda doesn't it....
Hmmmmmmmmmm! What is most distressing to me and must be to you,
the members, is that it makes a COMPLETE JOKE of the resolution
passed at a Council meeting which stated that "the matter should
be resolved quickly and as cheaply as possible."

Some critism has been leveled at me because of the way I wrote to
the Councillors and advised them of the intended meeting. I'll
read it to you and you make up your own mind.

                            NOTICE OF MEETING

A meeting of the "Council" of the Wireless Institute of Australia
New South Wales Division will be held next Thursday 4th August 1994
at 7.30 P.M. at Amateur Radio House Parramatta.

An agenda will be issued on the night. The prime purpose for
this meeting is to discuss the included material from the Divisional
Solicitor Messrs. Lewarne & Goldsmith of Parramatta.

To obviate the need for you to search around for your copy of the
Articles I have included an up-to-date copy for your information.

        See you there.

                                         Michael B. Corbin

Now the criticism were... (a) It was not dated. (b) it was not
called by the Secretary under Section 69(d) of the M & A's and
        (c) It was not signed even though it had Michael B. Corbin on the
bottom and was on an Institute Letterhead... Who do they think
sent it? The bloody tooth fairy?

I inform you of these things so that you can be aware of the sort
of rubbish the "Council" is forced to put up with. All I want to
do is get on with it. I am not interested in teams, not interested
in past events. All I want is a resolution to the problem. You
the members have been especially tolerant to date. There is a
light at the end of the tunnel, which leads me to what was stated
in the letter from the Divisional Barrister.

As I told you last week the proposition of an Administrator was
investigated and discounted for the reason that we were not insolvent
nor were we in danger of becoming insolvent. The Barrister has
suggested that we make an application to the Federal Court of
Australia for an order that a General Meeting of the Division take
place. Further, to seek directions in relation to the conduct of
that meeting on the basis that it is impracticable to call a meeting
by the normal procedures. The Court has the power to do this in
        Section 251 (1) & (2) of Corporations Law.

"251 (1) Meeting convened and conducted as the Court thinks fit

If for any reason it is impracticable to convene a meeting in any
manner in which meetings may be convened or to conduct the meeting
in the manner prescribed by the articles or this Law, the Court
may, either of its own motion or on the application of any
director or of any member who would be entitled to vote at the
meeting, order a meeting to be convened, held and conducted in
such manner as the Court thinks fit, and may give such ancillary
or consequential directions as it thinks expedient, including a
direction that 1 member present in person or by proxy shall be
           deemed to constitute a meeting.

(2) Such meeting deemed duly convened

Any meeting convened, held and conducted in accordance with any order
made pursuant to this section, shall, for all purposes, be deemed to
be a meeting duly convened, held and conducted."

Further Section 1319 of the Corporations Law provides:

"Where, under this Law, the Court orders a meeting to be convened,
the Court may subject to this Law, give such directions with respect
to the convening, holding or conduct, of the meeting, and such
ancillary or consequential directions in relation to the meeting as
        it thinks fit."

The objective of this meeting would be to place a group of
resolutions before the meeting which would

(i) Provide for a fresh election for all Council positions. (that's
        pretty straight forward)

(ii) Resolve that the newly elected Council NOT be required to retire
until the Annual General Meeting in 1996. The effects of this are
obvious .... should this matter successfully get to Court without
any opposition, it would probably be heard by the Court around
November sometime. Now it seems silly to hold an election then,
that is in November/December which would give the Council a term
in Office of ONLY 5 months. In simple terms, what the Barrister
is suggesting is... hold an election after approval to do so is
obtained from the Court. Then .... don't have another election
until April 1996, giving the new Council a term of 17 months instead
of the usual 12 months.... now that's not a bad idea is it? It is
certainly cheaper to hold ONE Election than it is to hold two.

(iii) Ratify the acts done in the name of the Council or Division since
the election in April, 1994. This would regularise the conduct of
the Business of the Division from April 1994 to date.

Now before anyone jumps to conclusions, particularly the propaganda
machine, members are reminded that at a meeting between the
unsuccessful candidates, the "Council" and the Concerned Amateur
Group, it was decided that since the business of the Division had
to proceed, that is, things like wages, electricity, rates,
stationery had to be paid for, then "the Council" in inverted commas
would be empowered to pay these accounts. An undertaking was given
that there would be no expenditure other than this. If any
unforeseen matters arose then monies could not be spent without the
approval of this group. So that this could be proved a balance sheet
would be produced for this meeting showing every item of expenditure .
... and don't worry, I have not forgotten that another Balance Sheet
has yet to be produced as was moved at the last AGM. It's a case of
not having the time as yet. It WILL be produced as promised.

(iv) Establish who is to be the Returning Officer for the next election
of the Division and what precisely are the functions and powers of
the Returning Officer. I think this is self explanatory.

(v) Establish the methods which will be employed in the conduction of
this election ie. Length of curriculum Vitae. Access to mailing
lists. How to Vote information and so on. Along with others I have
        definite views on this subject.

Obviously articles 47,48,50,31 and 72 need to be amended to
accommodate the aforementioned objectives. I will set these out in
detail for you next week so that you might be a part of the process.

I believe that the summary in the Barristers letter is worthy of
note. All Armchair Strategists, Hand Sitters and Chin Strokers
        Please Note and I quote

"It may well be that there are other articles and matters which
require attention in order to achieve the desired purpose. My
instructing Solicitors and any member of the Division qualified
whether by experience, a working knowledge of the constitutional
documents of the Division or otherwise may well have valuable
contributions to make to the process of pinpointing the amendments
to the Articles of Association and the resolutions necessary to
        bring the proposal to fruition.

I repeat and emphasise that, as lawyers, we can offer no political
solutions. These must be achieved within the Division. The new
election is proposed as a cheap and expedient alternative to lengthy
and expensive litigation." End of quote

Well there you have it members. It might not be what we all wanted
but it's a solution and a solution at .... and I'll quote again
Council Resolution ...." the cheapest possible cost". I would
appreciate any feedback on this proposal particularly from the 551
who, in the "Straw Poll," indicated that they were happy with things
as they were, all things considered. I need to know whether this
proposal is acceptable. Think about it for a week and let's hear
from you either during the week or on callbacks this week or next
week. Do you support it or don't you. A simple YES if you do will
        suffice.

I am available during the week on (02) 626 9288 or via my fax
        (02) 626 6066. To make this work we need a majority decision.

As my address this week has been quite lengthy, I will leave the
finer details regarding the actual wording of the amendments until
next week. Finally, I have received a disturbing letter from
Mr. Peter Gibson VK3AZL Acting Chairman Publications Committee
(They are the Committee responsible for the Publication of AR
Magazine), regarding an address by Mr. Roger Harrison representing
Federal Council. My inquiries in this matter are, as yet incomplete.

        More on this next week.

         See you then.

    NTAC Report
    -----------
Greeting from VK2XB/VK2WAG your friendly NTAC liaison officer with
some news of the progress of this vital part of Divisional affairs.

As I am sure you are all aware, the NSW Division has been embroiled
in somewhat of a political dilemma. This has had a major adverse
effect on NTAC's ability to function because we have been unable to
initiate any of the much needed activity as is required because we
have only been doing the bare necessities. It has alo meant that
funds have not been able to be spent on much needed items. An
example of this is that NTAC needs a full complement of maps of the
state, preferably in 1:100 000. As this "Council" has been operating
in a caretaker capacity, it is hard to judge whether or not some
people may misconstrue the spending of several hundreds of dollars
on maps as outside our charter. I know such restrictions also apply
to other Divisional activities, but in NTAC's case, the burden is
far greater than it should be because of the fact that basically it
was in an absolute mess. I certainly do not wish to accuse anybody
of creating this disaster, however I believe that it has been
something that has been allowed to occur over a considerable period
of time. Barry Sullivan, the NTAC Chairperson (to satisfy those who
require politically correct terminology) has done a marvellous job
in obtaining data bases, path loss predicting programs and a myriad
of other tools to assist in these processes. Without these, nothing
    could have been done.

Basically, we had absolutely none of the information and tools
required to do just about anything.

At this point in time we still have no maps. What do we need maps
for you might ask? Well, assume that the Woop Woop Amateur Radio
Club Inc wishes to install a repeater on Mount X (I will refrain
from A or B so as not to offend some political teams which don't
exist!!) on the frequency 146.XXX. We need to ensure that under
normal circumstances it will effectively cover the target area, that
it will not co-channel another repeater within effective range, and
that stations in between repeaters that are co-channelled cannot
access more than one repeater at a time under normal conditions. It
may be desirable to that one station to be able to access co-
channelled repeaters, but for everyone else it is a bit like the
wife having to agree to and accept a mistress for you! There are a
host of other reasons, but this should convey the idea.

Because of these factors, I regret to say that many repeater
approvals are being delayed. I am deeply sorry for this, but I am
not the cause of the political upheavals within the Division, and
can only do what I can with the resources provided.

Despite these problems, I am happy to announce that progress has
been made on quite a few applications and I am sure that the clubs
in question will soon be receiving their results. I would ask those
still waiting to be patient, and we will dispense with the backlog
    as soon as we can.

It occurs to me that some of you may wish to donate maps to speed
this process up. If so, please do not buy new maps and send them in
to us in the first instance! I can envisage 47 maps all of the same
area arriving on the Divisional doorstep ... all of them being for
an area where there are no repeaters!!! If you are so inclined, I
suggest you contact your local radio club and have them liaise with
us as to which maps would be useful!! Better yet, you could ring me
direct on either of the following numbers.

(018)295545 ... at all odd times as I work swinging shifts!
(02)6097383 ... this has an answering machine on whether I am there
    or not!

Once again I thank you for your patience and hope to be able to
bring you the good news that all the backlog has been cleared up. I
would also like to publicly acknowledge the tremendous efforts put
in by Barry Sullivan. It is only through Barry's help that we have
    made any progress at all.

Remembrance Day Contest weekend WIA broadcast schedule
    ------------------------------------------------------
    PLEASE NOTE

    WICEN news
    ----------
As listeners may have noticed the Sydney WICEN repeater on channels
7150/8275 is now back on air following an extended holiday. Along
with various repairs, it is now running on a high-gain antenna for
which we would like to thank Dick Smith Electronics.

There are no new events on the WICEN calendar in the immediate
future, so in the meantime here are the events this month. The
annual Batemans Bay Car rally is on Saturday 13th August, and as be-
fore Steve VK2XNH is looking for volunteers. This is followed by the
annual City to Surf Fun Run, on Sunday 14th August, and Eric
VK2KUR is looking for volunteers for this fun event. There will
be the usual barbecue afterwards, at the usual place, and
listeners are advised that communications will be conducted on UHF
to avoid pager interference. Eric advises that those without access
to 70cm need not worry. Hunter WICEN meet on Monday 15th August, and
Sydney South will have their AGM on Tuesday 16th August. Those
members who are also involved in other emergency services may be
interested in the "Rescue Expo" at Darling Harbour on Sunday 21st
August. This is followed by the Windsor-Sackville Regatta on
Saturday 27th August, from 0730 to 1330. There will be three
checkpoints, one dry and two wet, at Windsor, "station 48", and
Sackville Ferry. Contact details are scanty at the moment, but
interested personnel may contact John Buxton VK2GJB.

WICEN is always looking for members to provide the community with
communications assistance. Write to WICEN (NSW) Inc, PO Box 123,
St Leonards 2065 for further information, or come up on one of the
WICEN nets: Blue Mountains on the first Monday of each month at
8.30pm on channel 7175 simplex, Hunter each Wednesday at 7.30pm on
channel 6900, Northern Rivers each Wednesday at 8pm around 3610
kHz, Central Coast each Thursday at 8.30pm on channel 7125, and
Sydney each Thursday at 9.30pm on channel 7150. If there are any
other regular nets then we'd like to hear about them.

                            1994 City to Surf
                            -----------------

Only one week to go to the City to Surf fun run and WICEN is still
a few operators short. Remember it is next Sunday August 14th.

If you are able to assist would you please let Eric VK2KUR know in
the next day or so on home (02) 337-2909 or at work on (02) 318-
    6138.

As with last year's event we have again been able to organise the
same briefing venue and will again be holding a barbecue
afterwards. All participants along with their families and friends
are welcome to attend. With some operators finishing much earlier
than others, they will be able to head out to the hall and maybe
have an early lunch whilst waiting for the rest to return. This
way we won't have everyone trying to use the BBQ at the same time.

So bring your along yourselves, your families or friends and your
food and drinks. There is plenty of room for the kids to play
round the hall. You can leave your food in the fridge whilst you
are out and cook it when you get back.

Again Eric's numbers are at home (02) 337-2909 which has an
answering machine as well or at work on (02)318-6138 between 0800
    and 1600.

Epping District -- Base operators wanted

A new base for JOTA, the annual world-wide Scout radio activity,
is being opened at Epping and licensed operators are needed to
bring and operate equipment capable of interstate and internation-
    al contacts.

The aim of JOTA is to contact and record as many other Scout Bases
as possible in the weekend, as well as to provide an opportunity
for youth and adult members to become involved in Radio. Over 20
local Scout Groups will be invited with a potential attendance of
    over 500 during the weekend.

The Epping JOTA Base will operate (subject to availability of
    Operators) from

    Great Lakes Radio Club news
    ---------------------------
At the Annual General Meeting of the Great Lakes Radio Club
Incorporated held on Friday, 29th July, the folowwing office-
    bearers were elected:
               President Stan Ellis VK2DDL
               Vice-President Ray Parry VK2JRP
               Secretary Shayne McBride VK2XUV
               Treasurer Daryl Waldock VK2DAZ

Although comparatively small, the Great Lakes Club is well-known
because of the wide coverage of its 2-metre repeater, VK2RGL,
located 40 kilometres due west of Forster, on the Mid North Coast,
and also because of th key role which its digipeater, with the
same callsign and location, plays in the North-South forwarding of
Packet traffic on the Rose system.

The club is fortunate in being able to draw on the expertise of a
number of members with extensive experience in the commercial
radio and television fields, and the benefit of their contribut-
ions is apparent in the performance of its repeaters.

The club meets at 7.30 p.m. on the last Friday of each month
except December at the Forster-Tuncarry Adult Education Centre at
the corner of Manning and Lake Streets, Tuncurry and, in keeping
with the tradition of hospitality which is so widely practised in
this holiday area, is always happy to welcome visiting amateurs,
whether on vacation or simply passing through.

Following on reports and plans discussed at the A.G.M., members
are looking forward to another year of progress and expansion, and
hope to see the establishment, in the near future of a training
scheme for anyone in the local area who may take an interest in
our hobby. An application is being made for the accreditation of
several members as examiners. Aspiring amateurs in the area from
Bulahdelah to Taree are asked to listen for future bulletins
announcing the commencement of the scheme.

the meeting. A follow-up session, where board production will be
    demonstrated will be arranged later.
